Terms of Supply

In consideration of Mackys Real Estate Limited, trading as Bayleys in the North, entering into discussions relating to the possible acquisition by the undersigned of an interest in the business you hereby agree:

1. To treat as totally confidential the identity of the business and all detail as to its operation and financial accounts.
2. Not to disclose the identity or any details of the operation or financial accounts to any third party (except my accountant or legal advisor who shall agree to respect this requirement for confidentiality) unless expressly authorised in writing by the Vendor or the Vendor’s Agent.
3. Not to make an approach to the Vendor of the business or its employees, customers or suppliers without prior arrangement with Bayleys in the North and to refer all queries through the Vendor’s Agent.
4. That all information is received for no other purpose than the evaluation of the investment potential of the business.
5. If I decide not to proceed with the investment, I agree to return to Bayleys in the North immediately all written information supplied to me and retain no copies.

I hereby acknowledge that a breach of this Agreement may cause the other party irreparable damage for which monetary damages may not be an adequate remedy. Accordingly, in addition to other remedies that may be available, the business owner may seek and obtain injunctive relief against such a breach or threatened breach.
