Terms of Supply

1. THE VENDOR - TERMS AND CONDITIONS
1.1 Access to these due diligence files is strictly on the basis of the terms below. The action of accessing the contents is deemed confirmation of acceptance of these terms by the accessing party.
2. Confidentiality and Publication
2.1 Only bone fide potential purchasers and their professional advisors may access the information in the due diligence room (the “accessing party”). The information may not be accessed or used for any purpose other than for considering (or assisting a potential purchaser to consider) whether to make an offer to the Vendor for the purchase of the property.
2.2 The accessing party acknowledges and agrees that the information in the due diligence room is confidential to the Vendor.
2.3 Neither the whole nor any part of the information in or referenced in the due diligence room may be included in any document , circular or statement without the prior written approval of the Vendor (except as permitted under paragraph 2.5). The accessing party acknowledges that if any information in the due diligence room is included in a document, circular or statement without the Vendor’s prior written approval, the Vendor may suffer loss. Accordingly the accessing party who disseminates such information will be liable for any direct or indirect loss suffered or incurred by the Vendor.
2.4 No document or information in the due diligence room or any reference to them may be disseminated in any way by an accessing party, except to their professional advisors for the purpose of assisting a potential purchaser in deciding whether to make an offer to purchase the property. The accessing party undertakes to use all reasonable endeavours to ensure that the professional advisor (or potential purchaser, as the case may be) who receives the information from the accessing party agrees to adhere to these terms of access.
3. Disclaimer
3.1 The material contained in this due diligence room has been prepared by the Vendor and its advisors, solely for the information of potential purchasers to assist them in deciding whether to purchase the specified property.
3.2 It is intended to be general information only and specialist advice should be sought by any potential purchaser on all matters. The information provided by the Vendor’s advisors has been prepared for, and provided to, the Vendor and not to any accessing party or potential purchaser. The contents of this due diligence room does not constitute advice to potential purchasers and should not be relied upon as such.
3.3 No warranty is given, or representation made, by the Vendor or its advisors, as to the correctness, completeness, or sufficiency of any material that is in the due diligence room. Potential purchasers should make their own independent investigations so as to satisfy themselves as to the correctness, completeness and sufficiency of the material. The Vendor and its advisors do not assume any liability for any loss which is, or may be caused, by any error, omission, or misstatement (whether negligent or otherwise) which is attributable to documents or information in the due diligence room.
3.4 The material in the due diligence room does not form part of any offer or contract and is intended as information only. Any offer made may be subject to negotiation and will be subject to acceptance by the Vendor (at the Vendor’s absolute discretion).
3.5 The Vendor reserves the right in its sole discretion to postpone or cancel the proposed sale of the property. The Vendor reserves the right to sell the property to any party in such component parts, at such price and on such terms as it sees fit.
4. Additions and Changes to the Due Diligence Room
4.1 The Vendor has full and absolute discretion to add to, amend or replace any material that is in the due diligence room in full or part at any time. Neither the Vendor (nor the Vendor’s advisors) accepts any responsibility for the content of, or changes to, any document or changes to the due diligence room itself that may affect or qualify any of the information provided.
4.2 Bayleys will use reasonable endeavours to place notifications within the due diligence room of documents added, removed, altered or modified from time to time, but potential purchasers are advised to check regularly for any such changes.
5. Questions and Answers Process
5.1 Any party may submit written questions to Bayleys during the due diligence phase. Bayleys and/or the Vendor will endeavour to answer such questions; however, any questions and answers provided by Bayleys or the Vendor may, at the Vendor’s sole discretion, be made available to all parties accessing the due diligence room.

He was named NZ Tennis Coach of the Year in 2001 and also developed, promoted and managed three international tennis tournaments (the ATP Tour in 2000, 2001 and 2002). He also started a nationwide distribution company for sports goods called Advantage Sports.

On a more personal note, as a born and bred Hamiltonian, David is a passionate advocate for the city and is excited about its future development. He and his wife Wendy have loved raising their two children here in the Waikato, taking full advantage of the outdoors at every opportunity.
